Incorporation of the company in the U.S.
In the event that it is decided to structure the Project in the U.S. under a “direct” modality, a company (or “SPV”) will be created in the state of Delaware, and it will be endowed with the corporate governance, the capital structure and the powers and faculties to carry on the business.
To materialize this first phase, the following actions are highlighted:
- Incorporation of the SPV (or HoldCo) in the state of Delaware, preparation of the constitutive documents (Certificate of Incorporation, bylaws), organization and implementation of corporate governance (Board of Directors, directors & officers), structure and materialization of the share capital.
- Carrying out all the actions to ensure the normal operation of the SPV (or the HoldCo) before the corporate authorities (name registration, registration to conduct business in other states, payment of fees and duties) and tax authorities (obtaining the EIN). , as well as with respect to banks and other financial institutions.
